Section 1: The Board of Directors shall have the power:
To conduct, manage and control the business, affairs and activities of the Society.
To determine policies, make rules and regulations not inconsistent with the laws of the Philippines of Articles of Incorporation, Constitution and By-Laws of the Society as may be necessary for the management of the affairs, guidance of the officers and members of the Society.
To do any and all other things which may be either necessary or proper or incidental to the exercise of the foregoing powers.
Section 1: The members-elect of the Board of Directors shall, within one month, after their election, convene for the purpose of electing from among themselves the officers of the Society for the ensuing year. The Regular Meeting of the Board shall be every month, the date, time and place of meeting to be designated.
Section 2: The term of office of a director serving a one-year term shall commence on January 1st and end on December 31st of the next year; while one-year term of office shall commence on January 1st and end on
December 31st of the same year.
Section 3: The induction of the officers and directors shall be held in January each year.
Section 4: The Board of Directors may hold special meetings from time to time at the call of the President and at such time and place as he may designate. Any such special meeting any likewise be called at the instance of three (3) members of the Board.
Section 5: The majority of the Board of Directors shall constitute a quorum for the transaction of business at all meetings of the Board and a majority of the quorum shall be needed for the validity of any act or transaction.
Section 6: Upon designation of the time and place of the regular monthly meeting of the Board, no written notice shall be necessary for such meetings.
